Terms of Service

1. Agreement to Terms

By accessing or using the JAuto Corp Customer Portal (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform. By creating an account and checking the “I agree” checkbox during registration, you enter into a binding agreement with JAuto Corp (“Company”, “we”, “us”, or “our”).

2. Description of Service

JAuto Corp operates an automotive service scheduling marketplace that connects customers with automotive service providers. The Platform includes a web portal and mobile application that enable:

  • Order placement, quoting, job scheduling, and route optimization for automotive services including key programming, ADAS calibration, diagnostics, ECM/TCM programming, and other specialized services
  • AI-assisted features including automated quoting, pricing estimates, service recommendations, and intelligent scheduling suggestions
  • Real-time GPS tracking of technician locations and estimated arrival times
  • Multi-channel communication between customers, technicians, and service providers via SMS, in-app messaging, WhatsApp, voice calls, and push notifications
  • A marketplace and referral network connecting multiple automotive service organizations
  • Invoicing, payment processing, and financial record synchronization with accounting systems
  • Inventory management, key stock tracking, and parts ordering for service providers
  • Document management including compliance forms, vehicle photos, and proof of ownership verification

3. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Prohibited Conduct

You agree not to:

  • Scrape, crawl, spider, or use any automated means to access the Platform or collect data from the Platform, including through bots, scripts, or AI-powered tools;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the Platform or any of its components;
  • Circumvent, disable, or interfere with any technical protection measures, security features, or access controls of the Platform;
  • Reproduce, copy, or imitate the Platform's algorithms, business logic, scheduling systems, optimization engines, referral network logic, or any other proprietary processes;
  • Use information obtained from the Platform to build, assist in building, or operate a competing service or product;
  • Access the Platform for purposes of benchmarking, competitive analysis, or to replicate any features or functionality;
  • Attempt to access any systems, data, or accounts that you are not authorized to access;
  • Transmit viruses, malware, or other harmful code through the Platform;
  • Use the Platform in any way that violates applicable laws or regulations.

5. Intellectual Property

JAuto Corp retains all rights, title, and interest in and to the Platform, including but not limited to all software, source code, algorithms, scheduling logic, route optimization engine, referral network logic, platform fee calculations, technician matching algorithms, database schema designs, user interface designs, and all related intellectual property. These constitute valuable trade secrets and proprietary information of JAuto Corp.

Nothing in these Terms grants you any right, title, or interest in the Platform or its intellectual property, except for the limited right to use the Platform as authorized by these Terms.

6. User Content and Data

You retain ownership of any data you submit to the Platform (“User Content”), including personal information, vehicle details, and service records. By using the Platform, you grant JAuto Corp a non-exclusive, worldwide license to use, process, store, and display your User Content solely for the purpose of providing and improving the Platform's services to you.

7. Confidentiality

You agree not to disclose, share, or make available to any third party any proprietary aspects of the Platform that you may encounter during your use, including but not limited to pricing logic, internal workflows, business processes, system architecture, or any information marked as confidential.

8. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with Alberta's Personal Information Protection Act (PIPA).

9. Eligibility

You must be at least 18 years of age (the age of majority in Alberta) to create an account and use the Platform. By creating an account, you represent and warrant that you are at least 18 years old. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

10. Mobile Application

The Platform may be accessed through a mobile application available on iOS and Android devices. Use of the mobile application is subject to these Terms as well as the applicable app store terms (Apple App Store Terms of Service or Google Play Terms of Service). The mobile application may request access to device features including camera, microphone, location services, push notifications, and contacts. You may manage these permissions through your device settings. Certain features (such as voice calling and push notifications) require specific permissions to function.

11. AI-Assisted Features and Automated Decisions

The Platform uses artificial intelligence and automated systems to provide features including automated quoting, pricing estimates, service recommendations, scheduling suggestions, and invoice descriptions. These AI-assisted features are designed to support decision-making but are not a substitute for professional judgment.

  • AI-generated quotes and recommendations are estimates and may be adjusted by service providers before final pricing
  • Automated scheduling suggestions are subject to confirmation by dispatchers and service providers
  • Vehicle, service, and order information may be processed by third-party AI providers to generate recommendations. Personal contact information (name, email, phone) is not shared with AI providers.
  • You may request human review of any automated decision that materially affects your service or pricing by contacting us

12. Communications Consent

By using the Platform, you consent to receiving communications related to your account, orders, and services through the following channels:

  • SMS: appointment confirmations, technician arrival notifications, order updates, and account verification messages
  • Email: invoices, receipts, account notifications, and service updates
  • Push notifications: real-time updates via the mobile application (manageable through device settings)
  • In-app messaging: direct communication with technicians and service providers through the Platform
  • Voice calls: calls placed through the Platform's communication features using the service provider's business phone number
  • WhatsApp: messaging through WhatsApp Business API where available and opted in

You may manage your communication preferences through the Platform settings. Standard messaging and data rates may apply. To opt out:

  • SMS: reply STOP to any message from us
  • Email: click the unsubscribe link in the email footer
  • Push notifications: disable through your device settings or the mobile application settings
  • WhatsApp: reply STOP or manage through Platform settings

Opt-out requests will be processed within 10 business days as required by Canada's Anti-Spam Legislation (CASL). Transactional messages related to active orders, appointment confirmations, and account security are exempt from opt-out under CASL and cannot be disabled while you have active services.

13. Marketplace and Network Services

The Platform operates a marketplace and referral network that connects multiple automotive service organizations. When using marketplace features:

  • JAuto Corp acts as a platform facilitator and is not itself the provider of automotive services. Service quality, workmanship, and warranties are the responsibility of the individual service provider fulfilling your order.
  • Your order may be referred to a network partner organization if the original service provider cannot fulfill the request. You will be notified of any such referral.
  • Service pricing may vary between providers. Quoted prices are subject to confirmation by the assigned service provider.
  • Disputes regarding service quality should be directed to the service provider in the first instance. If unresolved, you may contact JAuto Corp at the address below, and we will investigate and respond within 15 business days. For disputes that cannot be resolved through our internal process, you may contact the Alberta Consumer Contact Centre or pursue resolution through Alberta's Provincial Court (Civil Division).

14. Payments and Billing

Payment for services may be processed through the Platform using third-party payment processors. By submitting payment information, you authorize the applicable payment processor to charge the specified amount. All prices are in Canadian dollars unless otherwise stated and are subject to applicable taxes (including GST).

Refund and cancellation policies are determined by the service provider fulfilling your order. Cancellation fees may apply depending on the timing of cancellation relative to the scheduled service. Platform fees charged to service providers are non-refundable.

15. GPS Tracking and Location Services

The Platform uses GPS tracking to monitor technician vehicle locations during working hours for the purposes of dispatch optimization, route planning, estimated arrival times, and customer notifications. For technicians and service providers:

  • GPS tracking is active during scheduled working hours and may be used for performance evaluation, route adherence, and time management
  • Location data is retained in accordance with our Privacy Policy
  • By using the Platform as a service provider, you consent to GPS monitoring of assigned vehicles during working hours

For customers, technician location information is shared only in the context of active service appointments (e.g., estimated arrival time) and is not retained after service completion.

16. Document Uploads and Compliance

Certain services may require you to upload compliance documents, vehicle photos, proof of ownership, driver's license images, or other supporting files. By uploading documents to the Platform:

  • You represent that you have the right to share the uploaded documents and that the information contained therein is accurate
  • Documents are stored securely and used solely for the purpose of verifying service eligibility, regulatory compliance, and fulfilling your service request
  • Document retention follows the schedule described in our Privacy Policy

17. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE PROVINCE OF ALBERTA, THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. JAUTO CORP EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NOTHING IN THIS SECTION IS INTENDED TO LIMIT ANY RIGHTS YOU MAY HAVE UNDER ALBERTA'S CONSUMER PROTECTION ACT THAT CANNOT BE EXCLUDED OR LIMITED BY CONTRACT.

18. Limitation of Liability

To the maximum extent permitted by law, JAuto Corp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

19. Indemnification

You agree to indemnify, defend, and hold harmless JAuto Corp, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content or data you submit through the Platform. This indemnification obligation shall survive termination of these Terms.

20. Termination

We may suspend or terminate your access to the Platform if you breach these Terms, engage in prohibited conduct, or fail to pay for services. We will provide at least 30 days' notice for termination without cause, except where immediate suspension is necessary to protect platform security, prevent harm to other users, or comply with legal obligations. Upon termination, your right to use the Platform ceases immediately. Sections 4 (Prohibited Conduct), 5 (Intellectual Property), 7 (Confidentiality), 17 (Warranty Disclaimer), 18 (Limitation of Liability), 19 (Indemnification), 21 (Governing Law), and 23 (Severability) shall survive termination.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in the Province of Alberta for any disputes arising out of or relating to these Terms or your use of the Platform.

22. Alberta PIPA Compliance

JAuto Corp is committed to compliance with the Personal Information Protection Act (PIPA) of Alberta and all applicable Canadian privacy legislation. We process personal information only for purposes that a reasonable person would consider appropriate in the circumstances, and we maintain appropriate safeguards to protect your personal information.

23. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the Parties.

24. Force Majeure

JAuto Corp shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, pandemics, acts of government, internet or telecommunications failures, power outages, cyberattacks, labour disputes, or disruptions to third-party service providers. During such events, our obligations shall be suspended for the duration of the event.

25. Waiver

The failure of JAuto Corp to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by JAuto Corp.

26. Assignment

JAuto Corp may assign, transfer, or delegate its rights and obligations under these Terms without restriction. You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this section shall be null and void.

27. Notices

Notices to you may be sent to the email address associated with your account and shall be deemed received when sent. Notices to JAuto Corp must be sent by email to justin@jauto.ca or by mail to: JAuto Corp, 187 Scenic Way NW, Calgary, Alberta T3L 1B6, Canada. Notices shall be deemed received upon confirmation of receipt (email) or 5 business days after mailing (postal).

28. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and JAuto Corp regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Platform.

29. Changes to Terms

We reserve the right to update these Terms at any time. For minor changes, we will post the updated Terms on the Platform and update the “Last updated” date. For material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Platform after the 30-day notice period constitutes acceptance of the revised Terms. If you do not agree to the material changes, you may close your account before the changes take effect.
